ISMS Copilot Licensing Agreement

1. Introduction

This Licensing Agreement ("Agreement") is between [Your Company] ("Licensor") and the user ("Licensee") of AI Chatbots accessible within the platform, including ISO 27001 Copilot, Risk Assessment Assistant, Policy Assistant, and ISMS Copilot X ("Software").


2. License Grant

Licensor grants Licensee a non-exclusive, non-transferable license to use the Software under the terms specified herein.


3. Scope of Use

This Agreement covers AI Chatbots accessible within the platform. Custom versions of these chatbots integrated into a platform by integration customers are not covered by this Agreement. No training will be conducted using data from users of customers who have integrated our bots into their platforms.


4. Training Data

The Software may be trained on anonymized user interactions, provided these inputs are deemed beneficial and are manually selected by administrators. Confidential information, as defined herein, will not be included in the training data. User feedback, provided outside of chatbot interactions, may also be used for training.


5. Confidential Information

"Confidential Information" includes any information provided by a user that is not intended for public disclosure, including business, financial, technical, and personal data. Such information will not be used for training the Software.


6. Usage Rights

Licensee is granted rights to use the Software solely for its intended purpose. The Licensee shall not:

- Modify, alter, or create derivative works of the chatbot.
- Distribute or sublicense the chatbot to any third parties.
- Use the chatbot for illegal activities or in any manner that infringes on third-party IP rights.


7. Data Ownership

The Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. All data generated from user interactions and AI outputs are owned by the Licensor to ensure legal protection against potential IP claims.


8. Legal and Regulatory Compliance

This Agreement is governed by the laws of France. The Software complies with GDPR and the EU AI Act regarding data usage and privacy.


9. Transparency and Communication

Licensor will maintain transparency about data collection and usage practices through a Trust Center, ensuring users are informed and trust is built.


10. Warranties and Indemnities

The Software is provided "as is" without any warranties, express or implied, including but not limited to warranties of performance, merchantability, or fitness for a particular purpose. The Licensor shall not indemnify the Licensee for any claims, damages, or liabilities arising from the use of the Software, including any IP infringement claims.


11. Termination

This Agreement is effective from 1st September until terminated. Either party may terminate the Agreement with written notice. Upon termination, Licensee must cease all use of the Software.


12. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

By using the Software, the Licensee agrees to the terms of this Licensing Agreement.
